Agreement to Terms

By accessing and using ChairUp ("Platform," "we," "us," "our," or "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree with any part of these Terms, you may not use the Platform.

ChairUp is operated by ChairUp LLC ("Company").

ChairUp is an online marketplace that connects licensed barbers, cosmetologists, nail technicians, estheticians, and other licensed beauty and grooming professionals ("Professionals") with barbershops, salons, and studios ("Shops") that list chairs or stations for rent. References in these Terms to "shops" mean Shops, and references to "chairs" include stations and similar workspaces.

Eligibility

To use ChairUp, you must:

  • Be at least 18 years of age
  • Have legal authority to enter into a binding contract
  • Not be prohibited from using the Platform by applicable law
  • Provide accurate, current information about yourself

Professionals: You must hold a valid, active license for your profession issued by the licensing authority of the state (or other jurisdiction) where you provide services — for example, a barber, cosmetology, nail specialty, or facial specialty license — to create a profile.

Shop Owners: You must be authorized to represent the business renting out chairs or stations, and enter into agreements on its behalf. Shops must hold all licenses, registrations, and permits required by applicable law to operate and to rent chairs or stations, for example, a salon or barbershop establishment license where required by the state in which the Shop operates, as well as any state and local permits required to operate the establishment.

Account Registration & Verification

A. License Verification (Professionals)

You grant ChairUp the right to verify your professional license through the applicable state licensing authority or its public license-lookup systems. Your account profile visibility depends on verification status:

  • Verified: Profile visible to all shops, "Verified" badge displayed
  • Pending Verification: Profile hidden until verification completes (within 5–7 business days)
  • Expired/Invalid License: Account access suspended; you must renew your license and resubmit for verification

You are solely responsible for maintaining a current, valid license at all times while using the Platform. If your license expires or otherwise ceases to be valid, you must immediately notify ChairUp and any Shop where you are actively renting a chair, and update your license status in your account settings. Failure to do so may result in account suspension.

B. Shop Licensure & Permits (Shops)

Shops are solely responsible for obtaining and maintaining, in active and good standing, all licenses, registrations, and permits required by applicable law to operate their business and to rent chairs or stations. If any required license or permit expires, is suspended or revoked, or otherwise ceases to be valid, the Shop must immediately notify ChairUp and any Professional actively renting a chair at the Shop, and must stop accepting new bookings until the license or permit is restored. Failure to do so may result in listing removal or account suspension.

C. Account Security

You are responsible for:

  • Keeping your password confidential
  • All activity under your account
  • Notifying us immediately of unauthorized access

ChairUp is not liable for unauthorized access due to your negligence in protecting your login credentials.

D. Consent to Identity and Background Screening

To help ChairUp assess the safety, integrity, and trustworthiness of our Platform and its users, you authorize us to undertake checks designed to help verify your identity or review your background, and consent that ChairUp may (but is not required to) screen you against and obtain reports from service providers, third-party databases, or other sources including public records of criminal convictions or sex offender registrations or their local equivalents.

Nothing in this section shall be construed as a requirement for ChairUp to conduct any screening beyond the verification of licensure described in Section 3.A.

User Conduct & Platform Rules

A. Prohibited Conduct

You agree NOT to:

Engage in Illegal Activity:

  • Violate any federal, state, or local law
  • Engage in fraud, misrepresentation, or harassment
  • Use the Platform for illegal employment practices

Abuse the Platform:

  • Post false or misleading information on your profile
  • Impersonate another person or entity
  • Spam, phishing, or malware
  • Attempt to bypass security or access unauthorized areas
  • Scrape, bot, or automate access to the Platform

Post any Content Violating these Terms:

  • Upload sexually explicit, graphic, or hateful content
  • Post content that infringes copyright or intellectual property
  • Post content depicting violence or illegal activity
  • Share personal information of others without consent

Professional Conduct (Professionals & Shops):

  • Misrepresent your qualifications or license status
  • Discriminate based on protected characteristics (race, gender, age, religion, etc.)
  • Engage in sexual harassment or predatory behavior
  • Solicit users outside the Platform to avoid fees

B. Enforcement

ChairUp reserves the right to:

  • Remove content that violates these Terms
  • Suspend or terminate accounts for violations
  • Report illegal activity to law enforcement
  • Cooperate with investigations

Intellectual Property & User Content

A. Your Content

You retain ownership of all content you upload to ChairUp, including:

  • Profile photos and descriptions
  • Video portfolios
  • Portfolio captions and descriptions
  • Interview video responses

B. License to ChairUp

By posting content on ChairUp, you grant the Company a non-exclusive, royalty-free, worldwide license to:

  • Display your content on the Platform
  • Use your profile information in search results and recommendations
  • Use your content for Platform marketing, promotional materials, and case studies (with your prior written consent for promotional use)
  • Create derivative works (e.g., cropped images, thumbnail previews)

You may revoke this license by deleting your profile or content. Deleted content will be removed from public view promptly; residual copies are retained and purged as described in our Privacy Policy.

C. Company Content

All ChairUp Platform content not created by users — including design, layout, graphics, branding, and functionality — is owned by the Company and protected by copyright. You may not reproduce, distribute, or modify Company content without written permission.

Subscriptions & Payments

A. Subscription Plans

ChairUp is currently free for everyone — Professionals and shops alike — during the launch period. No credit card is required to start.

Free Tier (Professionals):

  • View chair listings
  • No ability to apply, message shops, or book chairs
  • Profile not visible to shops

Paid Tier (Professionals): Currently free during launch

  • Apply to unlimited chair listings
  • Upload video portfolio
  • Verified badge (after license verification)
  • Message shops directly

Free Tier (Shops):

  • View Professional profiles
  • No ability to post listings or contact Professionals
  • Profile not visible to Professionals

Paid Tier (Shops): Currently free during launch

  • Post unlimited chair listings
  • Review and accept applications
  • Message Professionals directly
  • Manage chair rentals and payouts

B. Billing & Cancellation

Auto-Renewal: Once the launch period is over, and paid tiers are introduced, subscriptions to paid tiers will auto-renew on a monthly basis unless canceled. Your payment method will be charged automatically.

Cancellation: You may cancel your subscription anytime through account settings. Cancellation takes effect at the end of the current billing cycle. No refund for unused portions of the current month.

Failed Payments: If payment fails, we will attempt to re-bill you. If payment fails for 3 consecutive cycles, your account will be suspended until payment is resolved.

C. Payment Processing

Payments are processed securely by Stripe, our PCI-DSS compliant payment processor. By providing payment information, you authorize Stripe to store your payment method and process charges on your behalf. ChairUp never receives or stores your full card number, CVV, or other sensitive card data — we only retain a secure token from Stripe along with non-sensitive metadata (such as card brand and last 4 digits) for display and reconciliation purposes.

D. Transaction Fees (Charged to Professionals)

In addition to the chair rent, Professionals pay the following transaction fees on every rental payment, shown as separate line items at checkout:

  • Payment processing fee: 2.9% + $0.30 per transaction, passed through from Stripe.
  • Marketplace fee: 5% of the rent amount, paid to ChairUp.

Example: $300 rent = $300 rent + $9 processing + $15 marketplace = $324.00 charged to the Professional.

For Shops: You receive 100% of the rent amount — no processing fee, no marketplace fee, and no platform commission is deducted from the rent. The transaction fees above are paid entirely by the Professional.

Cancellations & Refund Policy

All chair rental payments made through ChairUp are subject to the following terms:

A. Cancellation Before Check-In

  • Cancellation 24 hours or more before the rental start time: all payment authorizations (rent and no-show holds) are released, and a $10 cancellation fee is charged to the canceling Professional's payment method.
  • Cancellation less than 24 hours before the rental start time, or failure to check in: treated under the No-Show Fee Policy (Section 8).
  • Booking canceled by the shop before check-in: all authorizations on the Professional's payment method are released in full and no fee is charged to the Professional.

B. Eligibility for Refunds

Refunds may be granted for:

  • Double Booking or Listing Error: If a shop accepts a booking for a chair that is no longer available due to a listing error before check-in, all authorizations are released and any captured amounts are refunded in full.
  • Platform Error: If a payment error occurs due to a ChairUp system malfunction (e.g., duplicate charge, incorrect amount), the overcharge will be refunded.
  • Dispute Resolution: If a transaction dispute is opened before the shop payout is released and resolved in the Professional's favor, the disputed amount will be refunded to the Professional.

C. Non-Refundable After Check-In

Once a Professional has checked in, the captured rent is non-refundable through ChairUp. This applies to all rental periods, including monthly rentals, where the full month's rent is captured at the first check-in.

Any refund after check-in is at the shop's sole discretion and is handled directly between the shop and the Professional, outside the Platform. ChairUp is not a party to, does not process, and is not responsible for facilitating or mediating shop-issued refunds.

Refunds will also NOT be granted for:

  • Professional no-shows where the Professional failed to check in or cancel at least 24 hours before the start time
  • Change of mind after a booking has been accepted and payment authorized
  • Subscription fees for the current billing cycle (cancellations stop future charges only)

D. Processing Fees on Refunds

Payment processing fees (2.9% + $0.30) are not returned on any refunded transaction and are borne by the Professional. The $10 cancellation fee, where applicable, is non-refundable.

E. Refund Process

Refund requests must be submitted through the Platform's dispute flow or by emailing contact@chairup.io within 14 days of the transaction. Approved refunds are processed to the original payment method within 5–10 business days. Processing times may vary based on the Professional's bank or card issuer.

No-Show Fee Policy

ChairUp enforces a strict no-show policy to protect shops from lost revenue due to ghost bookings.

A. No-Show Fee Amount

A $50 no-show fee is automatically charged to the Professional when all of the following conditions are met:

  • The shop has accepted the Professional's booking application
  • The Professional has not checked in by the agreed start time
  • The Professional has not canceled the booking at least 24 hours before the start time

B. Authorization & Collection

When a shop accepts a booking, ChairUp places two authorization holds on the Professional's payment method: one for the full rent amount and a separate hold for the $50 no-show fee. If either authorization fails, the booking cannot be confirmed.

If the booking is accepted more than 7 days before the rental start, the authorizations may be renewed (re-authorized) closer to the start date. If re-authorization fails, the booking is canceled and does not proceed.

  • If the Professional checks in on time: the rent is captured and the no-show hold is released — no fee is charged.
  • If the Professional cancels at least 24 hours before the start time: both holds are released and the $10 cancellation fee applies (Section 7.A).
  • If the Professional no-shows: the rent authorization is released, and the $50 no-show fee is captured and paid to the shop.

C. Fee Distribution

The full $50 no-show fee is paid to the affected shop. ChairUp does not deduct any portion of the no-show fee. The shop receives the full $50 as compensation for the lost chair time.

D. Professional Acknowledgment

Professionals must acknowledge the no-show policy during onboarding. By accepting a booking, Professionals reaffirm their understanding that ghosting a confirmed booking results in a $50 charge paid directly to the shop.

E. Disputes

No-show charges may be disputed through the Platform's existing transaction dispute flow. The burden of proof lies with the Professional to demonstrate that a valid check-in occurred or that the cancellation was timely.

Payment Flow & Shop Payouts

ChairUp processes all chair rent payments through Stripe Connect. Funds are held and moved within Stripe's payment system; ChairUp does not hold user funds in its own bank accounts. This section explains how money moves between Professionals, shops, and the Platform. Payment card details and Shop payout details are provided directly to Stripe and are subject to the Stripe Privacy Policy and our Privacy Policy.

A. How Payments Move

  1. Application: A Professional applies to a chair listing using a saved payment method.
  2. Acceptance & Authorization: When a shop accepts the application, ChairUp places two authorization holds on the Professional's payment method — one for the full rent amount and a separate hold for the $50 no-show fee. If either hold fails, the booking cannot confirm.
  3. Re-Authorization: If a booking is accepted more than 7 days before the rental start, the holds may be renewed closer to the start date. If re-authorization fails, the booking is canceled.
  4. Check-In & Capture: At the start of the rental, the shop confirms the Professional's arrival in the app. The Professional's device location at check-in may be recorded as supporting evidence of arrival; if device location is unavailable, the shop's confirmation alone completes check-in. Upon confirmed check-in, the rent is captured from the Professional's payment method, the no-show hold is released, and the rent is transferred to the shop's connected Stripe account. Check-in geolocation is collected, used, and retained as described in our Privacy Policy.
  5. Monthly Rentals: For monthly rentals, the full month's rent is authorized at acceptance and captured in full at the Professional's first check-in, with a single payout to the shop. Monthly rent is non-refundable after the first check-in (Section 7.C).
  6. Shop Payout: Captured rent is paid out to the shop after a short holding period set by ChairUp (currently 3 days after capture), then delivered to the shop's connected bank account through Stripe's payout system (typically 1–3 additional business days depending on the bank). ChairUp may adjust the holding period, and will provide notice of material changes.

B. Fees Charged to the Professional

On top of the rent amount, Professionals pay the transaction fees described in Section 6.D (Transaction Fees), shown as separate line items at checkout.

C. Shop Payouts

  • Shops receive 100% of the rent amount — no processing fee, no marketplace fee, and no platform commission is deducted from the rent. Collected no-show fees are also paid to the shop in full.
  • Connected bank required: Shops must complete Stripe Connect onboarding (bank account, identity verification) before receiving payouts. Shops do not need a bank connected to receive applications — only to get paid.
  • Timing: Payouts are released after ChairUp's standard holding period (currently 3 days after capture) and sent through Stripe automatic payouts.
  • Funds subject to an open dispute are not paid out until the dispute is resolved.

D. Disputes

Either party may open a dispute on a transaction from the transaction history. A dispute opened before the shop payout is released freezes the disputed funds until a ChairUp admin resolves the case; the admin may release funds to the shop or refund the Professional based on the evidence provided. Disputes opened after the payout has been released will be reviewed, but resolution may be limited to offsets against future payouts or other remedies at ChairUp's determination.

Check-in records — including shop confirmation and Professional device location — may be used as evidence in resolving disputes.

E. Chargebacks, Fraud Screening & Billing Descriptor

If a payment is disputed with a card issuer (a chargeback), ChairUp may provide Stripe, the card networks, and the issuing bank with evidence relating to the transaction — including check-in confirmations, check-in geolocation, booking and Terms acceptance records, and relevant Platform communications — as described in our Privacy Policy.

Transactions are screened for fraud using Stripe's fraud-prevention tools. ChairUp maintains records of payment disputes and chargebacks associated with user accounts and may restrict, limit, or terminate accounts with repeated chargebacks.

Charges processed through the Platform appear on card statements under a "CHAIRUP" billing descriptor.

Off-Platform Transactions

A. Prohibition

All chair rental agreements, payments, and communications initiated through ChairUp must remain on the Platform. Users are strictly prohibited from:

  • Soliciting or accepting payments outside of ChairUp's payment system
  • Arranging chair rentals off-platform to avoid fees
  • Sharing personal payment details (Venmo, Cash App, Zelle, PayPal, etc.) to bypass Platform processing
  • Directing other users to communicate or transact outside of ChairUp

The only exception is a shop-issued refund under Section 7.C, which a shop may choose to provide directly to a Professional at its sole discretion.

B. Consequences

Violating the off-platform transaction policy may result in enforcement action, up to and including a permanent ban from ChairUp:

  • First offense: Formal warning logged to your account and reported to ChairUp admins
  • Second offense: Immediate, permanent account termination with no refund of subscription, listing, or any other fees paid
  • Permanent prohibition from re-registering under any name, email, or identity
  • Forfeiture of any pending payouts
  • Potential legal action for fraud or breach of contract

Automated monitoring. ChairUp actively scans all in-app messages for mentions of off-platform payment methods (including but not limited to Venmo, Cash App, Zelle, PayPal, Apple Pay, Google Pay, wire transfers, cryptocurrency, "cash only," and similar terms). Detected messages are automatically logged, the sender is shown a warning, and ChairUp administrators are notified for review. Note: sharing of contact information such as phone numbers, email addresses, and social media handles is permitted and not subject to this monitoring. Message screening is conducted as described in our Privacy Policy.

C. Reporting

If you are asked to pay or accept payment outside of ChairUp, report it immediately to contact@chairup.io. Users who report off-platform solicitation in good faith will not be penalized.

Chair Rentals & Marketplace Transactions

Important: ChairUp is a marketplace that facilitates connections between Professionals and shops and processes chair rent payments through Stripe Connect. ChairUp does NOT:

  • Guarantee rental agreements
  • Provide legal advice on rental terms
  • Mediate disputes between users (except through the formal dispute flow)

Users are responsible for negotiating and documenting their own rental agreements. All chair rent payments must be processed through the Platform.

Limitation of Liability

A. No Guarantee of Results

ChairUp makes no guarantee that:

  • You will find a chair (for Professionals) or rent your chair to a Professional (for Shops)
  • Listed information is accurate or complete
  • Users are who they claim to be
  • Rental relationships will be successful

B. Liability Cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHAIRUP'S TOTAL, AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) $100; OR (B) THE AMOUNTS YOU PAID TO CHAIRUP IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHAIRUP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OF DATA, EVEN IF CHAIRUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS CAP APPLIES TO:

  • RENTAL RELATIONSHIPS BETWEEN PROFESSIONALS AND SHOPS, INCLUDING ANY CLAIM ARISING FROM A BOOKING, RENTAL, OR USE OF SHOP PREMISES
  • EMPLOYMENT, INDEPENDENT-CONTRACTOR, OR WORKER-CLASSIFICATION CLAIMS BETWEEN PROFESSIONALS AND SHOPS
  • FRAUD OR MISREPRESENTATION BY USERS
  • ANY OTHER CLAIM ARISING FROM USE OF THE PLATFORM

NOTHING IN THESE TERMS LIMITS OR EXCLUDES ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY ARISING FROM CHAIRUP'S OWN GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, OR WAIVES ANY NON-WAIVABLE RIGHTS YOU MAY HAVE UNDER APPLICABLE CONSUMER-PROTECTION LAWS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, CHAIRUP'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

C. Disclaimer

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, AND WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

D. Your Responsibility

By using ChairUp, you acknowledge:

  • You are responsible for verifying user information independently
  • ChairUp is not required to perform background checks or other screening beyond the license verification described in Section 3, and any screening ChairUp elects to conduct under Section 3.D is not an endorsement or guarantee of any user
  • You assume all risk in deciding whom to rent a chair to or from, and in your rental agreements
  • You are responsible for complying with licensing, tax, and worker-classification requirements applicable to your business

Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless ChairUp LLC and its affiliates, and their respective officers, directors, employees, and agents, from and against any third-party claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of applicable law
  • Your user content or actions
  • Disputes with other users
  • Services you provide to your clients, or your rental, listing, or use of any chair, station, or Shop premises

ChairUp will give you prompt written notice of any claim subject to indemnification. ChairUp reserves the right, at your expense, to assume the exclusive defense and control of any matter you are required to indemnify, and you agree to cooperate with that defense; you may not settle any claim that imposes any obligation on ChairUp without ChairUp's prior written consent. This Section 13 survives termination of these Terms and your account.

Dispute Resolution & Governing Law

A. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles.

B. Jurisdiction & Venue

Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Florida. You consent to the personal jurisdiction of these courts.

C. Informal Resolution (First Step)

Before pursuing formal legal action or electing arbitration, you agree to first attempt to resolve disputes informally by sending written notice to contact@chairup.io that describes the dispute, identifies your account, and states the relief you are seeking. We will attempt in good faith to resolve the matter within 30 days of receiving the notice. If the dispute is not resolved within that period, either party may proceed under Section 14.D or applicable law.

D. Binding Arbitration (Optional)

If informal resolution fails, either party may elect binding arbitration instead of litigation. Once elected, both parties are required to resolve the dispute through arbitration; however, either party may instead bring an individual claim in small claims court, and either party may seek injunctive or other equitable relief in court for actual or threatened infringement or misuse of intellectual property. This arbitration provision is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

Arbitration will:

  • Be conducted by a single arbitrator in the county where you reside, at another mutually agreed location, or by video conference.
  • Be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or, for disputes between ChairUp and a Shop or other business user, its Commercial Arbitration Rules.
  • Proceed only on an individual basis: class actions, class arbitrations, and representative or consolidated proceedings are waived to the fullest extent permitted by law. If this waiver is found unenforceable as to a particular claim, that claim — and only that claim — must proceed in court, and the waiver remains fully enforceable as to all other claims.
  • Costs of arbitration will be allocated in accordance with the applicable AAA rules, and each party bears its own attorneys' fees unless the arbitrator awards fees to the prevailing party under applicable law.

To elect arbitration, provide written notice to contact@chairup.io. YOU AND CHAIRUP EACH UNDERSTAND THAT, FOR ANY DISPUTE RESOLVED THROUGH ARBITRATION UNDER THIS SECTION, BOTH PARTIES GIVE UP THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. This Section 14.D survives termination of these Terms and your account.

Prohibited Activities & Enforcement

ChairUp monitors for violations and reserves the right to:

  • Investigate suspected violations
  • Suspend or terminate accounts
  • Remove content
  • Report illegal activity to law enforcement
  • Cooperate with government investigations
  • Take civil or criminal legal action

Termination of Service

A. By You

You may terminate your account anytime by deleting your profile in account settings. Your content and data will be deleted as described in our Privacy Policy: deletion is initiated within 30 days of your request, and account data is retained for 90 days after deactivation before being permanently purged, except where longer retention is required by law or for dispute resolution.

B. By ChairUp

ChairUp may suspend or terminate your account for:

Termination takes effect immediately upon notice. You may be prohibited from re-registering.

C. Effect of Termination

Upon termination:

  • Your profile is deleted
  • Your ability to access the Platform ends
  • Disputes with other users may remain subject to arbitration
  • Provisions regarding indemnity, liability, and intellectual property survive termination

Modifications to Terms & Service

ChairUp may modify these Terms at any time. Material changes will be announced via email or prominent notice on the Platform. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.

ChairUp may modify, suspend, or discontinue the Platform (or any feature) at any time without notice.

Separability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force. The invalid provision will be modified to the minimum extent necessary to make it valid.

Entire Agreement

These Terms constitute the entire agreement between you and ChairUp regarding use of the Platform and supersede all prior agreements, understandings, and negotiations. Our Privacy Policy describes how we collect, use, and disclose personal information; it is provided as a notice of our data practices and is not incorporated into, and does not form part of, this agreement.

Third-Party Services

ChairUp uses third-party services including Stripe (payments), Postmark (email), and Supabase (hosting). These services are subject to their own terms of service. ChairUp is not liable for their operations or security.

No Waiver

Failure to enforce any right under these Terms does not constitute a waiver of that right. ChairUp's failure to act on a violation does not waive the right to act on future violations.

Notice to California Residents

If you are a California resident, the following applies to you:

Consumer Rights Notice. Under California Civil Code Section 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210. You may contact ChairUp regarding any complaint at contact@chairup.io.

Automatic Renewal. If you purchase a subscription that renews automatically, we will (a) present the automatic renewal terms, the length of the renewal period, and the recurring charge clearly before you subscribe; (b) charge your payment method only after you affirmatively consent to those terms; and (c) allow you to cancel your subscription online at any time through your account settings, with cancellation taking effect as described in Section 6.B. We will notify you of any material change to your subscription terms before it takes effect.

Privacy Rights. California residents may have additional rights regarding personal information under the California Consumer Privacy Act, as described in our Privacy Policy.
